SUPPLEMENTAL ANNOUNCEMENT IN RELATION TO GRANT OF SHARE OPTIONS AND GRANT OF AWARD SHARES

Reference is made to the announcement ("Announcement") of Edvantage Group Holdings Limited (the "Company", together with its subsidiaries, collectively the "Group") dated 22 February 2021 in relation to the grant of share options and grant of award shares. Unless otherwise specified, capitalised terms used herein shall have the same meaning defined in the Announcement.

The Company would like to provide potential investors and shareholders of the Company with further information in respect of the Option Grantees and the Award Share Grantees.

Option Grantees

The Company confirms that all 9 Option Grantees are employees of the Group.

Award Shares Grantees

Among the 3 Award Share Grantees who are connected persons or deemed connected persons of the Company, Ms. Liu Yi Man (Executive Director and Chief Executive Officer of the Company, and daughter of Mr. Liu Yung Chau and Ms. Chen Yuan, Rita who are Directors and substantial shareholders of the Company) and Mr. Liu Chi Hin (employee of the Group, and son of Mr. Liu Yung Chau and Ms. Chen Yuan, Rita who are Directors and substantial shareholders of the Company) are connected persons of the Company, whereas Mr. Chan Kai Tung ("Mr. Chan"), being the son of Ms. Chen Yuan, Rita's brother (i.e. nephew of Ms. Chen Yuan, Rita), falls under the scope of "relative" under Rule 14A.21(1) (a) of the Listing Rules who, depending on the opinion of The Stock Exchange of Hong Kong Limited, may be deemed to be a connected person of the Company and hence for prudence sake, the Company opts to comply with the requirements of connected transactions under Chapter 14A of the Listing Rules regarding the grant of Award Shares to Mr. Chan as if Mr. Chan is deemed to be a connected person of the Company.
