EXTENSION OF LONG STOP DATE IN RELATION TO

THE COMPLETION OF

THE ACQUISITION OF THE ENTIRE ISSUED SHARE CAPITAL OF PIONEER ONE INVESTMENTS LIMITED

AND THE RELATED SHAREHOLDER'S LOAN INVOLVING ISSUE OF CONVERTIBLE BOND UNDER A SPECIFIC MANDATE

On 30 June 2017, the Purchaser and the Vendor agreed to extend the Long Stop Date to 31 August 2017 (or such other date as may be further agreed between the Purchaser and the Vendor in writing).

Reference is made to the circular (the''Circular'') of Jia Meng Holdings Limited (the''Company'') dated 23 June 2017 in relation to, among other matters, the acquisition (the''Acquisition'') of the entire issued share capital of Pioneer One Investments Limited (the''Target Company'') from Legendary Idea Limited (the''Vendor'') by the Ultimate Rise Limited (the''Purchaser''), a direct wholly-owned subsidiary of the Company.

Unless the context otherwise requires, capitalised terms used in this announcement shall have the same meaning as defined in the Circular.

As disclosed in the Circular, pursuant to the Agreement, if any of the conditions precedent for the completion of the Acquisition prescribed in the Agreement is not fulfilled (or waived by the Purchaser as appropriate) on or before 30 June 2017 (or such later date as may be agreed between you and the Company in writing) (the''Long Stop Date''), the Agreement shall become void and of no further effect.

As additional time is required for the satisfaction of the respective conditions precedent under the Agreement, on 30 June 2017, the Purchaser and the Vendor agreed to extend the Long Stop Date to 31 August 2017 (or such other date as may be further agreed between the Purchaser and the Vendor in writing).

Save for the above, all other terms and conditions of the Agreement shall remain unchanged and continue in full force and effect.

Shareholders and potential investors of the Company should note that the Acquisition contemplated under the Agreement is subject to satisfaction of certain conditions precedent and it may or may not be completed. Shareholders and potential investors are therefore advised to exercise caution when dealing in the shares of the Company.
