ANNOUNCEMENT BY ESR CAYMAN LIMITED REGARDING PROPOSED ACQUISITION OF ARA

ASSET MANAGEMENT LIMITED BY ESR CAYMAN LIMITED

ESR Funds Management (S) Limited, as manager of ESR-REIT (the "Manager"), wishes to announce that it has been informed by ESR Cayman Limited ("ESR") that it has entered into an acquisition agreement with ARA Asset Management Limited ("ARA") in relation to a proposed acquisition of the ARA Group (the "Proposed Acquisition").

Details of the Proposed Acquisition can be found in (a) the announcement titled "[Proposed Acquisition of ARA Asset Management Limited by ESR Cayman Limited]" issued by ARA and (ii) the announcement titled "Major and Connected Transaction in relation to the Proposed Acquisition of ARA Asset Management Limited" issued by ESR (collectively, the "Announcements").

As at the date of this Announcement, ESR indirectly owns (i) approximately 67% of the Manager, and

  1. 100% of Sabana Real Estate Investment Management Pte. Ltd., the manager of Sabana Shari'ah Compliant Industrial Real Estate Investment Trust. Upon completion of the Proposed Acquisition, in addition to these two managers, ESR will also indirectly own 100% of ARA LOGOS Logistics Trust Management Limited, the manager of ARA LOGOS Logistics Trust. As mentioned in the Announcements, ESR will work with the boards of directors of each of the managers to address and resolve any potential conflict of interests that may arise from ESR's ownership of the managers of the abovementioned REITs (including ESR-REIT) with overlapping investment mandates. Appropriate announcements will be made at the relevant time in accordance with all applicable regulatory requirements.

Unitholders and potential investors are reminded to exercise caution when dealing in the units of ESR- REIT. Persons who are in doubt as to the action they should take should consult their stockbrokers, bank managers, solicitors or other professional advisors.
