NOTICE TO THE MARKET
Viana, December 14, 2016 - Fertilizantes Heringer S.A. has PIS and COFINS tax credits calculated in the non-cumulative regimen, related to 2010, 2011, 1Q14 and 3Q14.
The Company requested said tax rebate from the Federal Revenue Service (FRS) in 2014 and, since the request was not evaluated after one year, a writ of mandamus was filed in order to ensure the continuity of the process.
The Company obtained a favorable decision, although not yet final and unappealable, and the FRS recognized expressly and definitively the Company's right to receive part of the rebate requested. However, the federal government did not refund the amount, allegedly because Heringer needed to offset the rebate with alleged debits against the Company.
Considering that all debits appointed by the federal government were extinct or with its enforcement suspended, a new writ of mandamus was filed, and Heringer obtained a court decision, although not yet final and unappealable, affirming that it did not have to offset said liabilities.
On December 14, 2016, the federal government deposited the amount of R$79.6 million. The remaining balance is object of administrative questioning due to a conflict of understanding between the Company and the Federal Revenue Office of Brazil in Vitória, Espírito Santo.

Fertilizantes Heringer SA is a Brazil-based company primarily engaged in the production, marketing and distribution of fertilizers under the Heringer brand name. The Company organizes its business into two segments: Industrial, which constists of sulfuric acid and single super phosphate (SSP) production plant, and Mixing Plants segment, which includes fertilizer mixing industrial units. As of December 31, 2011, the Company operated 19 fertilizer mixing plants. The Companyâs products are used in the crop production sector, including farming of cane, soybeans, corn and coffee, among others. Through its subsidiary Logfert Transportes SA, the Company is also involved in the road transport operations. On January 4, 2012, it acquired Maxifertil Fertilizantes Ltda, located in the municipality of Porto Alegre. On June 29, 2012, the Company completed the operation of merger by incorporation of its subsidiary Maxifertil Fertilizantes Ltda.
