FATO RELEVANTE

Fertilizantes Heringer S.A. ("Companhia"), em atendimento aos termos do artigo 157, §4º, da Lei nº 6.404, de 15 de dezembro de 1976 ("Lei das Sociedades por Ações") e da Resolução da Comissão de Valores Mobiliários ("CVM") n° 44, de 23 de agosto de 2021, bem como em linha com o seu compromisso de garantir total transparência a seus investidores, vem comunicar aos seus acionistas e ao mercado em geral, o quanto segue.

Em continuação ao fato relevante divulgado em 23 de novembro de 2022, que apresentou o resultado da fase 1 dos trabalhos de investigação referidos nos Fatos Relevantes publicados em 11.8.2022, 14.8.2022 e 16.8.2022, como também o início da fase 2 das investigações ("Investigação"), a Companhia vem informar que está prestes a concluir a fase 2 da Investigação, o que espera que ocorra ao longo das próximas duas semanas.

Considerando que a data de divulgação das demonstrações financeiras da Companhia referentes ao trimestre findo em 31 de março de 2023 ("ITR") será próxima (mais especificamente no dia 15 de maio de 2023), porém anterior, à finalização da fase 2 da Investigação, a despeito de, até o momento, não haver qualquer indicação de qualquer fato que seja material no âmbito da fase 2 da Investigação, a Companhia decidiu, nesta data, não divulgar seu ITR no próximo dia 15 de maio.

Tal decisão foi principalmente tomada para evitar que fosse realizada a divulgação do ITR e, após a finalização da fase 2 da Investigação, fosse eventualmente necessário alterar o quanto apresentado poucos dias antes no ITR. Dessa maneira, considerando (i) a proximidade da finalização da fase 2 da Investigação; e (ii) seu compromisso de máxima transparência com seus investidores e o mercado, a Companhia decidiu programar a divulgação do ITR para o dia 30 de maio de 2023, portanto já refletindo o resultado da fase 2 da Investigação.

A Companhia reitera que serão envidados todos os esforços para conclusão breve da fase 2 da Investigação e confirmação da ausência de impactos contábeis relevantes ao ITR. Tão logo finalizados tais trabalhos, o ITR será divulgado.

Em consequência da não divulgação do ITR na data prevista, fica adiada a apresentação pública sobre divulgação dos resultados do primeiro trimestre de 2023, originalmente prevista para o dia 16 de maio de 2023. Tal reunião fica, portanto, tentativamente reagendada para 31 de maio de 2023.

MATERIAL FACT

Fertilizantes Heringer S.A. ("Company"), in compliance with the provisions of Paragraph 4 of Article 157 of Law No. 6,404, of December 15, 1976 ("Corporations Law") and of the Brazilian Securities Commission ("CVM") Resolution No. 44, of August 23, 2021, and pursuant to its commitment to assure full transparency to its investors, hereby communicates its shareholders and the market in general of the following.

In addition to the Material Fact released on November 23, 2022, which presented the result of phase 1 of the internal investigations referred to in the Material Facts disclosed on 8.11.2022, 8.14.2022 and 8.16.2022, as well as the beginning of phase 2 of the investigations ("Investigation"), the Company hereby informs that it is close to concluding phase 2 of the Investigation, which it expects to happen during the next couple of weeks.

Considering the date of disclosure of the Company's financial statements for the quarter ended on March 31, 2023 ("ITR") will be close (more specifically on May 15, 2023), but prior to, the end of phase 2 of the Investigation, despite the fact that, currently, there is no indication of any material fact within phase 2 of the Investigation, the Company has decided not to disclose, on this date, its ITR on May 15, 2023.

Such decision has been primarily taken to avoid the disclosure of the ITR and after the conclusion of phase 2 of the Investigation the it was eventually required to change the ITR released just a few days before. In that sense, considering (i) the proximity of the conclusion of phase 2 of the Investigation; and

1. the Company's commitment to full transparency with its investors, the Company decided to reschedule the disclosure of its ITR to May 30, 2023, thus already reflecting the conclusion of phase 2 of the Investigation.

The Company reiterates that every effort will be made for the brief conclusion of phase 2 of the Investigation and confirmation of the lack of material accounting impacts to the ITR. As soon as such works are completed, the ITR will be disclosed.

As a consequence of the non-disclosure of the ITR in the prescheduled date, the public meeting regarding the disclosure of results from the first quarter of 2023, originally scheduled for May 16, 2023, is postponed. The meeting is hereby rescheduled tentatively for May 31, 2023.
