FFRI Security, Inc. (TSE:3692) entered into a contract to acquire Shinetec Co., Ltd. from Kiyotaka Miyazaki, Hiroki Ogiwara, Seiji Yamamoto and Makoto Hada for approximately ¥190 million on May 14, 2021. Under the transaction, FFRI Security acquired 240 shares in Shinetec from the sellers. For the period ended June 2020, Shinetec had net assets of ¥47.8 million, total assets of ¥106.7 million, ¥sales of ¥400.9 million, business profit of ¥2.4 million and net income of ¥2.5 million. As a result of the transaction, Shinetec would operate as a subsidiary of FFRI Security. The transaction has been resolved by the Board of Directors of FFRI Security at its meeting held on May 14, 2021. The share transfer is expected to complete on May 25, 2021.
FFRI Security Inc, formerly FFRI Inc, is a Japan-based company engaged in the cyber security business. The Company is engaged in the provision of security products such as FFRI yarai, a targeted attack countermeasure product, and FFRI yarai analyzer, a malware automatic analysis tool. The Company sells products by subscription license or perpetual license, and provides product update and maintenance services, as well as the copyright business. The security service business is engaged in the outsourced development of cyber security products, the investigation of computer system security robustness and impact when subjected to cyber attacks, as well as the provision of security investigation, analysis and research services.
