PROFIT WARNING

This announcement is made by the board of directors (the "Board") of Fujian Holdings Limited (the "Company") pursuant to Rule 13.09(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The Board would like to inform the shareholders and potential investors of the Company that, based on the preliminary review of the unaudited consolidated management accounts of the Company and its subsidiaries (collectively, the "Group") for the six months ended 30 June 2020, as compared to the profit attributable to shareholders of HK$1.85 million for the six months ended 30 June 2019, it is expected that the Group may record a loss attributable to shareholders of approximately HK$1.6 million to HK$1.9 million.

The Board considers that the expected loss for the six months ended 30 June 2020 is mainly attributable to the significant decrease in number of tourists in Mainland China brought by the outbreak of the COVID-19 pandemic in the first half of the financial year of 2020, which negatively affected the financial performance of the hotel operating businesses of the Group.

As the Company is in the process of preparing the results of the Group for the six months ended 30 June 2020, the information contained in this announcement is only based on the preliminary review of the Company's unaudited consolidated management accounts for the six months ended 30 June 2020 and information currently available to the Board, which have not been reviewed by the audit committee of the Board. Details of the Group's performance will be disclosed in the interim results announcement of the Group for the six months ended 30 June 2020, which is expected to be issued at or before the end of August 2020.

Shareholders and potential investors of the Company are advised to exercise caution when dealing in the shares of the Company.
