Full Alliance Group, Inc. (OTCPK:FAGI) entered into an agreement to acquire up to 99% of Kelevra Digital Solutions, S.A. de C.V. on April 5, 2018. Under terms of the agreement, Full Alliance Group may acquire up to 99% of Kelevra, including substantially all operations, technologies, and intellectual properties. The consideration will be payable through a combination of cash and stock. Upon completion, Kelevra will operate as a subsidiary of the Full Alliance Group. The transaction is subject to customary conditions such as satisfactory completion of due diligence and regulatory approvals, which will be expected to take 60 days or less.
