Resignation of a member of the Board of Statutory Auditors and replacement by an Alternate Auditor

Rome,24 July 2020 - GEDI Gruppo Editoriale S.p.A. announces that Mr Maurizio Lauri resigned on 20 July, with effective 24 July 2020, from the position of regular member of the Board of Statutory Auditors, owing to professional commitments that have arisen and that are incompatible with the function of statutory auditor of the Company.

At the moment of his resignation Mr Maurizio Lauri did not hold shares in the Company.

GEDI Gruppo Editoriale S.p.A. thanks Mr Lauri for the hard work and commitment demonstrated in the performance of his duties.

As of 25 July 2020, he will be replaced under the terms of the law and of the By-laws by the Alternate Auditor Mr Riccardo Zingales.

The Curriculum Vitae of Mr Zingales was already made available to the shareholders on the occasion of the Ordinary Shareholders' Meeting of 26 April 2018 and is filed with Borsa Italiana S.p.A. and at the company headquarters, and is on the Company's website - Governance section.

Mr Zingales has confirmed the statements provided for by law previously issued on the occasion of appointment as Alternate Auditor.
