Closed joint-stock company Minsk Transit Bank entered into a letter of intent to acquire 99.9% stake in Joint Stock Company Idea Bank from Getin Holding S.A. (WSE:GTN) and GETIN International SA for BYN 50 million on November 19, 2020. Closed joint-stock company Minsk Transit Bank entered into a conditional sale agreement to acquire 99.9% stake in Joint Stock Company "Idea Bank" from Getin Holding S.A. and GETIN International SA for BYN 50 million on February 26, 2021. Under the terms of agreement, consideration of BYN 49.9 million will be payed for for 120,990 shares owned by the Getin Holding and BYN 882.5 for 2 shares owned by GISA. Minsk Transit Bank and Getin Holding intended to sign agreement by January 4, 2021 and conduct due diligence along with obtaining required corporate and regulatory clearances. The letter of intent expires on January 31, 2021 if not extended. On January 4, 2021, national bank of Belarus given consent to Getin Holding S.A.on December 30, 2020. On January 29, 2021, The parties agreed to sign an agreement by March 1, 2021.The terms of the transfer of ownership of Idea Bank Belarus include, inter alia, obtaining by MTB the consent of the relevant Belarusian anti-monopoly authority for the transaction. Getin Holding also announced that it had obtained the approval of the supervisory board for the transaction. As of March 10, 2021 Closed joint-stock company Minsk Transit Bank obtained Belarus antimonopoly approval. It is expected that their conclusion will take place no later than April 2, 2021. Closed joint-stock company Minsk Transit Bank completed the acquisition of 99.9% stake in Joint Stock Company Idea Bank from Getin Holding S.A. (WSE:GTN) and GETIN International SA on April 1, 2021.
