1. GetNinjas S.A. ("Companhia" ou "Getninjas"), em cumprimento ao disposto na Resolução CVM nº 44/21, informa que recebeu, nesta data, correspondência da ARC Capital Ltda. ("ARC Capital") em resposta à notificação enviada à REAG Investimentos S.A., ARC Capital e Wealth High Governance Ltda. indagando sobre a eventual caracterização de "Grupo de Acionistas" e incidência da obrigação de realizar oferta pública de aquisição prevista no artigo 55 do estatuto social da Getninjas1.

O inteiro teor da correspondência enviada pela ARC Capital encontra-se anexo ao presente comunicado ao mercado.

Prezados Senhores,

ARC Capital Ltda. ("ARC Capital"), inscrita no CNPJ/MF sob o nº 27.690.986/0001-25, sociedade autorizada pela Comissão de Valores Mobiliários ("CVM") para o exercício profissional de administração de carteiras de valores mobiliários nos termos da Resolução CVM nº 21, de 2021 ("RCVM 21"), vêm, em referência ao comunicado enviado em 10 de outubro de 2023, e em atenção aos questionamentos apresentados pela Getninjas S.A. ("Companhia") em 11 de outubro de 2023, esclarecer o seguinte no que diz respeito a seus investimentos na Companhia:

1. exceto pelo já informado alinhamento de interesses entre as gestões do Fundo Master e do Fundo Arctic (tais quais identificados nas comunicações anteriores), ARC Capital e os fundos sob sua gestão, nesta data, não estão agindo em conjunto com, e não representam o mesmo interesse de qualquer outro acionista ou investidor da Companhia;
2. ARC Capital já apresentou as informações e declarações necessárias nos termos da regulamentação em vigor, e não está sujeita à obrigação de lançar oferta pública por atingimento de participação relevante, conforme prevista no art. 55 do Estatuto Social da Companhia.

Getting paper copies

At any time, you may request from us a paper copy of any record provided or made available electronically to you by us.
