Press Release - Globe Cements Powerhouse Data Center Partnership With STT GDC and Ayala Corporation; Globe to Recognize a Transaction Pre-tax Gain of PHP10.5 Billion

Background/Description of the Disclosure

In reference to our disclosure dated 15 November 2021, followed by disclosures dated 2 March 2022 and 3 March 2022 on Globe's joint venture with ST Telemedia Global Data Centres and Ayala Corporation, we wish to inform you that all the definitive agreements relating to the transaction have been signed and executed, and all closing conditions have been met. As such, this transaction closed on March 31, 2022. Globe (PSE:GLO), a leading digital solutions platform in the Philippines with major interests in telecommunications, financial technology, digital marketing solutions, venture capital funding for startups, entertainment, and virtual healthcare, officially seals its joint venture partnership with ST Telemedia Global Data Centres (STT GDC), and Ayala Corporation (AC). All transaction documents were signed and executed by the three parties, with all closing conditions delivered, formally closing the landmark transaction.
