GoHealth, Inc. announced a private placement of 50,000 Series A Convertible Perpetual Preferred Stock at issue price of $1,000 for gross proceeds of $50,000,000 on September 23, 2022. The shares will be converted at conversion rate of $0.64 per share. The shares will carry a dividend at rate of 7% per annum.

The preferred stock is senior.
