Goldlok Toys Holdings (Guangdong) Co., Ltd. (SZSE:002348) agreed to acquire 45% stake in Shenzhen Yidu Information Industry Co., Ltd. from Zhang Zihe, Zhou Fang, Shenzhen Jumai Innovation Technology Industry (Limited Partnership), and Shenzhen Mingcheng Innovation Technology Industry (Limited Partnership) for CNY 270 million on July 20, 2017. In a related transaction, Goldlok Toys Holdings (Guangdong) Co., Ltd. will carry out a capital increase of CNY 90 million in Shenzhen Yidu Information Industry Co., Ltd. and Zhang Zihe, Zhou Fang, Shenzhen Jumai Innovation Technology Industry (Limited Partnership), and Shenzhen Mingcheng Innovation Technology Industry (Limited Partnership) must use a 75% of their earnings to buy shares of Goldlok Toys Holdings (Guangdong) Co., Ltd. After both the transactions, Shenzhen Yidu Information Industry Co., Ltd. will hold 53.25% stake in Shenzhen Yidu Information Industry Co., Ltd. The Board of Directors of Goldlok Toys Holdings (Guangdong) Co., Ltd. approved the transaction on July 20, 2017. The shareholders' of Goldlok Toys Holdings (Guangdong) Co., Ltd. approved the transaction on August 8, 2017.

(SZSE:002348) completed the acquisition of 45% stake in Shenzhen Yidu Information Industry Co., Ltd. from Zhang Zihe, Zhou Fang, Shenzhen Jumai Innovation Technology Industry (Limited Partnership), and Shenzhen Mingcheng Innovation Technology Industry (Limited Partnership) on September 22, 2017. As of November 9, 2017, the entire consideration was paid.
