Item 2.02. Results of Operations and Financial Condition.

On January 26, 2021, Gran Tierra Energy Inc. (the "Company") issued a press release announcing its 2020 year-end reserves and operational update. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein in its entirety.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors;

           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

As of January 26, 2021, Remi Anthony ("Tony") Berthelet is no longer employed by the Company or serves as its Chief Operating Officer. Mr. Berthelet's separation from the Company is without "cause" as described in that certain executive employment agreement between Mr. Berthelet and the Company, dated October 18, 2019. Pursuant to such agreement, Mr. Berthelet will receive a separation package consistent with the potential amounts payable as disclosed in the Company's definitive proxy statement relating to the 2020 annual meeting of stockholders, filed with the Securities and Exchange Commission on March 25, 2020. The foregoing description of the executive employment agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the agreement, a copy of which was filed as Exhibit 10.1 to the Company's Quarterly Report on Form 10-Q for the quarter ended September 30, 2019, and is incorporated herein by reference.
