On June 27, 2023, Greystone Housing Impact Investors LP (the âPartnershipâ) entered into a Third Amendment to Amended and Restated Credit Agreement (the âThird Amendmentâ) with Bankers Trust Company (âBankers Trustâ) which modifies certain provisions of the Amended and Restated Credit Agreement (the "Amended Credit Agreement") between the Partnership and Bankers Trust dated August 23, 2021, as amended by the First Amendment to Amended and Restated Credit Agreement dated April 29, 2022 (the âFirst Amendmentâ) and the Second Amendment to Amended and Restated Credit Agreement dated July 29, 2022 (the âSecond Amendmentâ). There were no fees paid to Bankers Trust associated with the Third Amendment. The material amendments to the Amended Credit Agreement accomplished by the Third Amendment included a change in the Securities Intermediary (as defined in the Third Amendment) to Wilmington Trust, National Association, and the establishment of a new custody account (the âPledged Accountâ) maintained by Wilmington Trust, National Association in the Partnershipâs name.
Financed assets acquired with proceeds advanced under the Amended Credit Agreement will be deposited into the Pledged Account. Outstanding balances under the Amended Credit Agreement will be secured by a first priority security interest in all investment property, securities, financial assets, cash, cash equivalents, and other assets now or hereafter deposited in the Pledged Account and will be continuously maintained in the Pledged Account until released by Bankers Trust.
