On June 27, 2023, Greystone Housing Impact Investors LP (the “Partnership”) entered into a Third Amendment to Amended and Restated Credit Agreement (the “Third Amendment”) with Bankers Trust Company (“Bankers Trust”) which modifies certain provisions of the Amended and Restated Credit Agreement (the "Amended Credit Agreement") between the Partnership and Bankers Trust dated August 23, 2021, as amended by the First Amendment to Amended and Restated Credit Agreement dated April 29, 2022 (the “First Amendment”) and the Second Amendment to Amended and Restated Credit Agreement dated July 29, 2022 (the “Second Amendment”). There were no fees paid to Bankers Trust associated with the Third Amendment. The material amendments to the Amended Credit Agreement accomplished by the Third Amendment included a change in the Securities Intermediary (as defined in the Third Amendment) to Wilmington Trust, National Association, and the establishment of a new custody account (the “Pledged Account”) maintained by Wilmington Trust, National Association in the Partnership’s name.

Financed assets acquired with proceeds advanced under the Amended Credit Agreement will be deposited into the Pledged Account. Outstanding balances under the Amended Credit Agreement will be secured by a first priority security interest in all investment property, securities, financial assets, cash, cash equivalents, and other assets now or hereafter deposited in the Pledged Account and will be continuously maintained in the Pledged Account until released by Bankers Trust.
