Shanghai Rongchen Investment Management Partnership (Limited Partnership) and Zhu Qiyu agreed to acquire Shenzhen Xuanshuo Zhizao Technology Co., Ltd. from Guangdong Zhengye Technology Co., Ltd. (SZSE:300410) for CNY 6 million April 2, 2021. Under the terms, Shanghai Rongchen Investment Management Partnership will acquire 70% stake for CNY 4.8 million and Zhu Qiyu will acquire 30% stake for CNY 1.2 million. Shanghai Rongchen Investment Management Partnership and Zhu Qiyu will pay 50% transfer price within 3 days of Board of Directors meeting and remaining 50% transfer price within 3 days of completion of industrial and commercial registration. The balance sheet items of Shenzhen Xuanshuo Zhizao Technology as of February 28, 2021, are total assets of CNY 59.9 million and net assets of CNY 4.72 million. The financials of Shenzhen Xuanshuo Zhizao Technology for December 31, 2020, are operatig revenues of CNY 38.8 million and net loss of CNY 58.35 million. The transaction is subject to approval of shareholders and approved by the Board of Directors of Guangdong Zhengye Technology.
