Humana acquires the care company Fideli Omsorg AB. The acquisition strengthens Humana's operations in social psychiatry and care for people with disabilities and complements Humana's offering geographically. The payment is made in cash and own shares. Humana's Board has therefore, with the support of the authorisation of the Annual General Meeting on May 11, 2021 and with deviation from the shareholders' preferential rights, decided on the transfer of 769,200 own shares in Humana. 

Fideli Omsorg offers care services for adults. The services include ten housing units and one daily activity unit. The units are located in Småland and Stockholm and additional housing units will be started in 2021 and 2022. Fideli Omsorg's full-year revenues in 2020 amounted to approximately SEK 73 million and the company has 160 employees.

Humana has entered into an agreement to acquire all the shares in Fideli Omsorg AB. The transfer, which takes place with immediate effect, makes the business a part of Humana's business area Individual & Family. 

Payment 

The purchase price is paid partly in cash and partly through the transfer of own Humana shares. The Board of Humana has therefore, with the support of the Annual General Meeting's authorisation on 11 May 2021 and with deviation from the shareholders' preferential rights, decided on the transfer of 769,200 own shares in Humana as part of the compensation for the acquisition of Fideli Omsorg AB. The price per Humana share has been set at SEK 65 on the basis of the volume-weighted average share price on 11 - 24 August 2021. The transfer of the shares in Humana will take place on 1 September 2021, in connection with the acquisition. 

Humana's holding of own shares before the acquisition of Fideli Omsorg AB amounted to 5,017,059. Following the transfer, Humana holds 4,247,859 own shares. The total number of shares in Humana amounts to 53,140,064 with the same number of votes.
