Item 8.01. Other Events.



As previously announced, on November 7, 2022, Ritchie Bros. Auctioneers Incorporated, a company organized under the federal laws of Canada ("Ritchie Bros." or "RBA"), entered into an Agreement and Plan of Merger and Reorganization (the "Merger Agreement") with Ritchie Bros. Holdings Inc., a Washington corporation and a direct and indirect wholly owned subsidiary of RBA ("US Holdings"), Impala Merger Sub I, LLC, a Delaware limited liability company and a direct wholly owned subsidiary of US Holdings, Impala Merger Sub II, LLC, a Delaware limited liability company and a direct wholly owned subsidiary of US Holdings, and IAA, Inc., a Delaware corporation ("IAA"). IAA will hold a special meeting of stockholders on March 14, 2023 to consider and vote on a proposal to adopt the Merger Agreement and thereby approve the transactions contemplated by the Merger Agreement, in addition to certain other matters. IAA stockholders of record as of the close of business on January 25, 2023 will be entitled to receive notice of, and to vote at, the special meeting of IAA stockholders or any adjournments or postponements thereof.
