PROPOSAL RELATING TO ITEM SIX OF THE AGENDA

Whereas:

  1. The General Meeting of IMPRESA - Sociedade Gestora de Participações Sociais, S.A. ("Impresa") is responsible for electing the members of the Board of the General Meeting (article 9, no. 1 of the Articles of Association), of the Board of Directors (article 14, no. 1 of the Articles of Association), of the Audit Committee (article 14, no. 1 of the Articles of Association) and of the Remuneration Committee (article 2, no. 2 of the Regulations of the Remuneration Committee).
  2. In accordance with Impresa's articles of association, the members of the governing bodies are elected for four-year terms.
  3. The term of office of the governing bodies, corresponding to the four-year period 2019- 2022, ended.

The Shareholder IMPREGER - Sociedade Gestora de Participações Sociais, S.A. ("Impreger") proposes to the General Meeting that the corporate bodies of Impresa have the following composition for the four-year period 2023/2026:

Opinion on the suitability of the members of the Governing Bodies:

Following the presentation of the list proposed for election of the Governing Bodies, Impreger assessed individually and globally the members of the proposed Governing Bodies and concluded that:

  1. the proposed members have a diverse range of skills appropriate to the performance of their functions, considering, in particular, the academic qualifications, specialised training and professional experience in areas relevant to Impresa's activity (law, engineering and technology, business and strategic management, economics and finance, auditing and auditing of accounts, capital markets and risk and sustainability) as proven by their curricula, appropriate for the full compliance with the responsibilities and performance of the functions attributed, also having, as a whole, prior training and experience for the sector in which Impresa operates;
  2. the proposed members globally ensure compliance with criteria of diversity and independence, in order to comply with legal criteria and also deemed appropriate for Impresa's policies;
  3. each of the members of the Board of Directors meets the requirements of integrity, professional qualifications, experience and availability required for the governing bodies of Impresa and also demonstrate high ethical principles, values and behaviour compatible with the standards required for the governing bodies, as well as the capacity to exercise critical, pondered, constructive and independent judgement;
  4. overall, the proposed members ensure compliance with the representativity requirements of independent directors on the Board of Directors and the Audit Committee.

In view of the above, Impresa believes that the list of members for the corporate bodies proposed to the next General Meeting fulfil the applicable legal and recommendatory requirements and meet the conditions for the correct performance of their functions.
