Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On March 13, 2022, Kevin M. King informed the Board of Directors (the "Board") of iRhythm Technologies, Inc. (the "Company") that he will retire as a director and consultant to the Company, effective April 1, 2022. In connection with his retirement, including from his role as a consultant to the Company following his resignation as President and Chief Executive Officer in January 2021, Mr. King and the Company executed a Resignation and Release Agreement, which is attached hereto as Exhibit 10.1. Mr. King's resignation from the Board is not due to a disagreement with the Company on any matter relating to the Company's operations, policies or practices.

In connection with, and effective upon, Mr. King's retirement, the Board reduced the authorized number of directors on the Board from nine to eight.

Item 8.01 Other Events.

The Company issued a press release dated March 14, 2022, announcing the retirement of Mr. King. A copy of the press release is attached hereto as Exhibit 99.1.
