Jiangsu Nata Opto-electronic Material Co., Ltd. (SZSE:300346) agreed to acquire 16.5398% stake in Quanjiao Nata Opto-electronic Materials Ltd. from Tianjin Nansheng No. 1 Enterprise Management Partnership (Limited Partnership) on July 5, 2023. The transaction has been approved by the board of Jiangsu Nata Opto-electronic Material Co., Ltd. and Tianjin Nansheng No. 1 Enterprise Management Partnership (Limited Partnership). The transaction requires approval from Shenzhen Stock Exchange and shareholders of Jiangsu Nata Opto-electronic. Jiangsu Nata Opto-electronic Material Co., Ltd. intends to issue shares in a private placement transaction for the consideration of this transaction. For the period ended March 31, 2023, Total Assets were of CNY 506 million and Total owner's equity was of CNY 418 million. As of August 30, 2023, Jiangsu Nata Opto-electronic Material Co., Ltd. (SZSE:300346) signed a supplementary agreement to acquire 16.5398% stake in Quanjiao Nata Opto-electronic Materials Ltd. from Tianjin Nansheng No. 1 Enterprise Management Partnership (Limited Partnership). As of October 10, 2023, the total consideration for the acquisition is CNY 236.51 million, cash portion of the consideration is CNY 106.43 million and the buyer will issue 4.64 million shares at CNY 28.02 per share. Jiangsu Nata Opto-electronic Material Co., Ltd. shareholder approved the transaction. The gross proceeds for the private placement is CNY 111.93 million. The transaction has been approved by the Independent Directors of Nata Opto-electronic.
