Pan Pacific International Holdings Corporation (TSE:7532) made a tender offer to acquire additional 12.39% stake in Kanemi Co., Ltd. (TSE : 2669) from FamilyMart Co., Ltd. and others for ¥3.3 billion on July 11, 2022. The offer price per share is ¥2,713. Prior to this transaction, the tender offeror owns 2,615,061 shares of Kanemi, representing 27.02% stake. The offer is subject to acceptance of minimum level of 1,145,061 shares and maximum 1,202,314 shares. The tender offeror will enter into tender offer application agreement with FamilyMart to acquire its 1,145,061 shares, representing 11.83% stake in Pan Pacific International. The tender offer period will start on July 12, 2022 and close on August 9, 2022. The Kanemi has appointed TMI Associates as legal advisor.

Kanemi Co.,Ltd. is a Japan-based company mainly engaged in the manufacture and sale of bento boxes, sushi, rice balls, side dishes, among others. The Company operates through two business segments. The Tenant segment is involved in the production and sale of sushi and prepared dishes through general side dish shops, sushi specialty shops and western-style side dish shops opened in supermarkets and the other, as well as the operation of Japanese restaurants and sushi restaurants. The External Sale segment is involved in the manufacture and delivery of bento boxes, rice balls and prepared dishes for convenience store members.
