Kyoei Steel Ltd. (TSE:5440) agreed to acquire BD Vinton, LLC from BDCM Opportunity Fund IV, L.P. managed by Black Diamond Capital Management, LLC for $52 million on December 20, 2016. The board of directors of Kyoei Steel passed a resolution regarding the acquisition on December 20, 2016. On December 21, 2016, the purchase agreement was executed. BD Vinton LLC will change its name to Vinton Steel LLC pursuant to the deal. As of end of September 2016, BD Vinton reported net assets of $52.2 million and total assets of $59.4 million. For the year ending December 31, 2015, BD Vinton reported revenues of $130.3 million and gross loss of $0.5 million. Kyoei Steel Ltd is a Japan-based company mainly engaged in domestic steel business, overseas steel business, and environmental recycling business. It has three business segments. Domestic Steel segment manufactures and sells steel products mainly for civil engineering and construction steel products. Main products include deformed steel bars, flat steel, I-shaped steel, threaded bar, billet and rebar processed products. It is also engaged in the purchase and sale of steel products and the transportation business. Overseas Iron and Steel segment manufactures and sells steel products mainly for civil engineering and construction steel products. Main products are deformed steel bars and wire rods. Environmental Recycling segment is engaged in the operation of intermediate and final treatment of medical and industrial waste, and reclaimed stone business. It is also engaged in civil engineering material sales business, port business, financial asset management and insurance agency business.
