logly, Inc. (TSE:6579) entered into basic agreement to acquire Juicer business from PLAN-B Co.,Ltd. on July 1, 2019. With regard to the transaction, an acquisition preparation period for the Juicer business has been established for the period from July 1, 2019 to September 30, 2019. As a result, logly, Inc. paid PLAN-B ¥44 million on July 1, 2019, as start-up money for the preparation period. The acquisition price will be determined during the preparation period, and when the final agreement for the acquisition of the Juicer business is signed, the acquisition price will be the amount less the start-up money. In addition, if it does not reach the conclusion of the final contract, PLAN-B has stipulated in the basic agreement contract to return the start money to logly, Inc., and will notify as soon as it is decided. For the fiscal year ended December 2018, Juicer business has reported sales of ¥99 million. The Board of Directors of logly, Inc. has resolved the transaction on June 27, 2019. The final agreement is expected to be concluded in late September 2019 and transaction is expected to complete in September 2019.

The Company is engaged in the provision of service that creates a network to distribute advertisements to the websites of multiple media companies and accepts orders for advertisements. The main customers are mainly advertisers including advertising agencies and media companies, as well as the person who uses a computer or smartphone to view or click on an advertisement distributed using LOGLY lift on the Internet.
