MATERIAL FACT

Belo Horizonte, January 6, 2021 - MRV Engenharia e Participações S.A. (B3: MRVE3) ("Company"), in accordance with art. 157, paragraph 4 of Law No. 6,404, of December 15, 1976, as amended, in the Brazilian Securities and Exchange Commission ("CVM") Instruction No. 358, of January 3, 2002, communicates to its shareholders and the market in general that on 12/30/2020, the sale of the Deering Groves project, located in Miami, USA, was successfully concluded at the General Sales Value ("PSV") of US$ 57 million, Cash Generation of US$ 21 million, Gross Profit of US$ 16.5 million, Yield on Cost of 7.21% and Cap Rate of 5.00% (% based on projected NOI of 12 months after stabilization).

It's the first sale of a project by the American subsidiary AHS Residencial ("AHS") after its acquisition by MRV, which took place on 01/31/2020, confirming the resilience of the "workforce" market, even at such a challenging moment, from a macroeconomic point of view.

Deering Groves was part of the group of 07 (seven) projects under negotiation, which, as disclosed in the 3Q20 Earnings Release, amount to 1,450 units, approximately US$ 306 million in PSV.
