Minutes of the Board of Directors' Meeting
held on October 09, 2023
Date, time and place: On the 09th of October 2023, at 1:00 PM, at the head office of
Multiplan Empreendimentos Imobiliários S.A. ("Company") in the City and State of Rio de Janeiro, Av. das Américas, 4.200, block 2, suite 501, Barra da Tijuca.
Call notice and attendance: The call notice was waived due to the attendance of all the Board of Directors' members.
Presiding Board: Chairman: Mr. José Isaac Peres; Secretary: Ms. Fernanda Pitella Landau Remy.
Agenda: Discuss and decide on the hiring of bank guarantee by a subsidiary of the Company.
Resolutions: The members of the Board of Directors decided, unanimously and without caveat, the following:
Given the limitation established by Article 22, item "m", of the Company's Bylaws, to approve the hiring of a bank letter of guarantee by Manati Empreendimentos e Participações
Ltda., a Company's subsidiary, with Banco ABC Brasil S.A., in the amount of up to BRL 55,000,000.00 (fifty-five million reais), with guarantee (aval) by the Company, with the purpose of guaranteeing the pecuniary obligations related to the acquisition of an ideal fraction corresponding to 5.88% of part of Ribeirão Shopping, as per proposal submitted by Company's Management to the Board of Directors.
To authorize the Executive Officers of the Company to practice all necessary acts to implement the resolution herein approved, directly by the Company and/or through its subsidiaries.
6. Closing, Drawing Up, and Approval of the Minutes: With no further issue to be addressed, these minutes were approved as per Article 20 of the Company's Bylaws and were duly signed electronically, and the members of the Board of Directors Messrs. Gustavo Henrique de Barroso Franco, José Paulo Ferraz do Amaral, John Michael Sullivan and Ms. Cintia Vannucci Vaz Guimarães sent their votes in writing.
