Nakayamafuku Co.,Ltd. (TSE:7442) signed a contract to acquire Greenpal Co., Ltd. from Nirasawa Manufacturing Co., Ltd., Shieko Nirasawa and Kazuhiro Nirasawa for ¥780 million on January 31, 2018. Under the terms, Nakayamafuku will acquire 6574 shares of Greenpal Co., Ltd. Nakayamafuku will acquire 92.8% stake from Nirasawa Manufacturing Co., Ltd., 4% stake from Shieko Nirasawa and 3.2% stake from Kazuhiro Nirasawa in Greenpal Co., Ltd.
For the year ended July 2017, Greenpal Co., Ltd. had sales of ¥1.8 billion, operating income of ¥272 million and net income of ¥162 million. As of July 31, 2017, Greenpal Co., Ltd. had total assets of ¥1.5 billion and net assets of ¥1.3 billion. The board of Nakayamafuku passed a resolution on the transaction on January 31, 2018. The transaction is expected to complete February 22, 2018. The transaction involves advisory expenses of ¥91 million.
