COPENHAGEN, Denmark, February 28, 2024 - Napatech (OSLO: NAPA.OL) today reports
that it will increase its share capital by 26,875.00 shares as a consequence of
the exercise of warrants as part of Napatech's incentive program.  

The shares are subscribed in cash at the following price per share of nominally
DKK 0,25: 

o	Nom. DKK 25,000 shares at NOK 150,000.00 (corresponding to DKK 98,670.00), and
o	Nom. DKK 1,875 shares at NOK 33,750.00 (corresponding to DKK 22,143.38). 

The new shares are ordinary shares without any special rights and are freely
transferable negotiable instruments. The new shares give rights to dividends and
other rights in relation to the company as of subscription. The new shares will
be listed on the Oslo Stock Exchange after registration with the Danish Business
Authority. 

The capital increase is carried out without any pre-emption rights for existing
shareholders or others and is expected to be carried out shortly. 

Pursuant to Section 32 of the Danish Capital Markets Act No. 41 of January 13,
2023, it is hereby announced that the total nominal value of Napatech A/S' share
capital after the capital increase is 22,570,800.00, which is made up of
90,283,200.00 shares of a nominal value of DKK 0,25 each, corresponding to
90,283,200.00 votes.
