Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 21, 2022, Spencer Hall informed NewHydrogen, Inc. (the "Company') of his decision to resign as Chief Operating Officer of the Company to pursue other opportunities effective December 31, 2022. Mr. Hall's decision to resign was not due to a dispute or disagreement with the Company or its management. Mr. Hall will continue to serve as a member of the board of directors of the Company.
