COMBINED SHAREHOLDERS' MEETING 16 MAY 2023

ALL THE RESOLUTIONS SUBMITTED HAVE BEEN ADOPTED

Paris, Tuesday, 16 May 2023, 5.45 pm CET

The combined general meeting (ordinary and extraordinary) of Nexity chaired by Véronique Bédague, Chairwoman and Chief Executive Officer, was held today.

All the resolutions submitted to the General Meeting have been adopted, among which:

  • The approval of the statutory and consolidated financial statements for the financial year ended on 31 December 2022;
  • The allocation of a dividend of 2.50 euros per share that will be payable on 26 May 2023;
  • The renewal of Mrs Agnès Nahum and Mr Charles-Henri Filippi mandates as directors
  • The approval of the Company officers' items of remuneration in respect of the financial year ended 31 December 2021 (Ex post vote);
  • The approval of the principles and criteria used to determine the Company Officers' remuneration in respect of the 2023 financial year (Ex ante vote); and
  • The granting of financial authorizations to the Board of Directors.

During the presentation, Véronique Bédague, Chairwoman and Chief Executive Officer and Pierre-Henry Pouchelon, General secretary of the Group in charge of Finance, presented its strategy and its CSR policy, the financial results and the 2023 outlook.

Mrs Luce Gendry, Deputy Chairman of the Board of Directors and Senior independent Director and Charles-Henri Filippi, Chairman of the Remunerations, Appointments and CSR Committee, presented respectively the corporate governance, the compensation components of the Company corporate officers in 2022, the compensation policy applicable to the Company Officers for the 2023 financial year as well as the free shares plans granted.

The Board of Directors, taking into account the votes on each of the resolutions, and in particular those with the lowest majority scores, will continue the dialogue with its shareholders in the coming months.

The presentation and the broadcast of the General Meeting as well as the results of the vote of the resolutions submitted to the General Meeting will be available on the Company's website (www.nexity.group/en) under Finance / Shareholders / Shareholders' meetings.
