Nomura Research Institute Australia Pty Ltd made an offer to acquire remaining 48.2% stake in DSB Co., Ltd. (TSE:8692) for ¥11.1 billion on January 14, 2020. Nomura Research will acquire 12.1 million shares for ¥920 per share. Post completion, DBS will be delisted and will become wholly subsidiary of Nomura. Minimum number of shares to be purchased is 3.7 million. DBS Board has recommended shareholders to apply for the offer. Board resolution date is April 28, 2020.
Tender offer will run from April 30, 2020 to June 15, 2020. Frontier Management acted as financial advisor and a third-party valuation institution, and Gaien Partners acted as legal advisor for DBS. Nomura Securities acted as financial adviser to Nomura Research Institute, Ltd.
