The Company stated that ISS?s recommendation in favor of a majority of the Company director nominees underscores the strength and effectiveness of the board, and the ongoing and effective execution of the Company?s strategy.

The Company also stated that ISS recommendation relating to Ancora?s nominees jeopardizes the election of the Company?s board candidates who are critical to the effective oversight of the company, including Amy Miles, Heidi Heitkamp, Thomas Kelleher, Jennifer Scanlon, and John Thompson. The Company added that it urges shareholders to vote for its nominees on the Company?s proxy card.
