OPG Power Ventures plc ("OPG", the "Group" or the "Company")

Result of Scrip Dividend Alternative and Issue of Equity

Further to the Company's previous announcements, OPG announces that it has received final valid elec%ons for the Scrip Dividend Alterna%ve in respect of 173,478,295 exis%ng ordinary shares of 0.0147p each in the capital of the Company.

Accordingly, based on the previously announced reference price of 26.023p per share and the final dividend of 0.72p per share, a total of 4,799,742 new ordinary shares of 0.0147p each will be allo2ed by the Company ("New Shares") to shareholders who elected to receive the Scrip Dividend Alternative.

Applica%on has been made to AIM for the New Shares to be admi2ed to trading on AIM ("Admission"). Admission of the New Shares is expected on 22 December 2017 ("Admission"). It is expected that the New Shares will be issued and credited to CREST accounts on 22 December 2017.

Following Admission, the Company will have 356,308,697 ordinary shares in issue admi2ed to trading on AIM and this figure may be used by shareholders as the denominator for the calcula%ons by which they will determine if they are required to no%fy their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
