Allan Pratt Files a Claim Against PAID, Inc for Wrongful Termination of Employment

On March 22, 2021, Allan Pratt announced that he also served as a director of PAID, Inc. until the board of directors voted to shrink the size of the board from 5 to 3 directors on March 27, 2020 and claimed that Pratt’s term expired on April 17, 2020, without the holding of a meeting of stockholders of the Company. Allan Pratt stated that it is well settled law in Delaware that the board lacks such authority. Accordingly, Allan Pratt expressed that all actions of the board since Pratt’s purported removal have been ultra vires and invalid and Allan Pratt evaluating all available remedies with respect to this matter and intend to hold each member of the board accountable to the fullest extent permitted by law. In addition, Allan Pratt stated that on March 19, 2021, he has filed a claim in the Ontario Superior Court of Justice against the Company and its subsidiary ShipTime Canada Inc. for wrongful termination of employment.
