Petrobras Distribuidora SA (B3: BRDT3) informs its shareholders and the general public that has signed on 01/12/2021 a non-binding Memorandum of Understanding (MOU) with New Fortress Energy Inc. (NFE) and CCETC Brasil Holding Ltda. (CCETC) for the possible transfer to NFE of the shares held by BR and CCETC in the companies Pecém Energia S.A. ("Pecém") and Energética Camaçari Muricy II S.A. ("Muricy"). The price and other conditions of the eventual transaction will be discussed and mutually agreed.

The Pecém and Muricy companies are specific purpose vehicles (SPV), still in the pre-operational stage, and are responsible for the implementation, of the Pecém II and Muricy II Projects, thermal power plants, winners of the New Energy Auction nº 002/2006, promoted by ANEEL which granted the 15-year power purchase agreements.

New Fortress Energy is a global energy infrastructure company that funds, builds and operates natural gas infrastructure and logistics to provide integrated energy solutions.

BR reinterates that the closing of this transaction and the signing of the Share Purchase and Sale Agreement continue to be subject to the approval of its Board of Directors and the usual precedent conditions in transactions of this nature.

The signing of this MOU is in line with our Portfolio Management initiative, which seeks to guarantee the Company's focus and maximize the creation of value for shareholders.
