Pilbara Minerals Limited : - NOTICE UNDER SECTION 708A OF THE CORPORATIONS ACT 2001

As approved by shareholders at the Pilbara Minerals Limited ACN 112 425 788 (ASX:PLS) (Pilbara Minerals) Annual General Meeting held on 17 November 2020, Pilbara Minerals has today issued 560,000 ordinary shares issued in the capital of Pilbara Minerals (Shares) to Mr Ken Brinsden (and/or his nominee) in lieu of 70% of his cash bonus vested under the FY2020 STI.

Pilbara Minerals gives notice under section 708A(5)(e) of the Act that: the Shares were issued without disclosure to investors under Part 6D.2 of the Act; as a disclosing entity, Pilbara Minerals is subject to regular reporting and disclosure obligations; as at the date of this notice, Pilbara Minerals has complied with: the provisions of Chapter 2M of the Act as they apply to Pilbara Minerals and section 674 of the Act, as it applies to Pilbara Minerals and as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) or 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
