MATERIAL FACT
PLANO & PLANO DESENVOLVIMENTO IMOBILIÁRIO S.A. ("Company"), pursuant to
paragraph 4 of article 157 of Law 6,404, of December 15, 1976, and Instruction 358 of the Brazilian Securities and Exchange Commission ("CVM"), of January 3, 2002, as amended, hereby informs its shareholders and the market in general that, on March 4, 2021, the Company's Board of Directors approved the first (1st) issue of simple, unsecured debentures, not convertible into shares, in a single series, in the principal amount of sixty million reais (R$60,000,000.00), for public distribution with restricted efforts, as per CVM Instruction 476, of January 16, 2009, as amended ("Debentures").
The funds raised by the Company through the payment of debentures will be allotted to its working capital.
