MATERIAL FACT
PORTO SEGURO S.A. ("Company") (PSSA3) informs that it was filed, on this date, with the Superintendency of Private Insurance - SUSEP, a request for prior authorization for the partial spin-off of its subsidiary Porto Seguro Companhia de Seguros Gerais (CNPJ No. 61.198.164/0001- 60), with the purpose of transferring part of its activities to Porto Seguro Assistência e Serviços S.A. (CNPJ No. 41.608.574/0001-24), also controlled by the Company. The spin-off is intended to concentrate related businesses into the same entity and thus optimize their management within the group.
The execution of the spin-off will depend on the approval of SUSEP and any other approvals. The Company will keep the market informed about it, under the terms of the applicable regulation.
