Minutes No 987 of the Board of Directors Meeting
DATE, TIME AND VENUE: On May 8, 2024, at 9:00 am, in a semi-presential manner, at the Company's headquarters, located at Abramo Randon Ave., 770, Caxias do Sul, RS.
PRESENÇAS: All members of Randoncorp's Board of Directors and Statutory Board.
PRESIDING BOARD: David Abramo Randon - President, and Claudia Onzi Ide - Secretary.
RESOLUTIONS: In accordance with the agenda known to all, and in line with the statutory provisions, the following resolutions were taken:
The Directors, by unanimous vote, In line with the provisions of item "n" of Article 23 of the Bylaws, approved the Financial Statements and Quarterly Report for the first quarter of the current fiscal year ended March 31, 2024 (1Q2024), audited by KPMG Auditores Independentes Ltda., and the Board was authorized to take all necessary measures for their disclosure as required by law.
In accordance with the provisions of item "e" of Article 23 of the Bylaws, by unanimous vote, approved the modification and consolidation of the People and Culture Management Policy and the Internal Regulations of the People Committee.
5. CLOSURE: There being no further matters to address, the meeting was closed, and the minutes were drawn up, read, approved in all its terms, and electronically signed by all Board members, through the Docusign digital platform. Caxias do Sul, May 8, 2024. Presiding Board: David Abramo Randon, President and Claudia Onzi Ide, Secretary.
