On January 25, 2017, Gregory Morris announced his intention to resign from root9B Holdings, Inc.'s Board of Directors and all committees thereof, effective April 1, 2017. Mr. Morris is a member of the company's Audit
Committee and is the chair of the Compensation Committee. Mr. Morriss decision to resign was not the result of
any disagreement with the company on any matter relating to the company's operations, policies, or practices
during his period of service as a director. Mr. Morris is resigning in order to focus his efforts on several
new and existing opportunities.
