Capital increase through private subscription approved at BoD Meeting
APPENDIX 30-XXXII - Notice on capital increased approved by the board of directors
SANTOS BRASIL PARTICIPAÇÕES S.A. ("Company"), hereby announces to its shareholders that on October 21, 2021, the Board of Directors of the Company approved, among other matters, an increase in the Company's capital within the authorized capital, in accordance with article 7 of the Bylaws of the Company, consequent to the exercise, by certain beneficiaries, of their respective stock options in connection with the Company's Stock Option Plan.
In light of such approval, the Company hereby discloses the following information on said capital increase, in accordance with article 30, item XXXII, and Appendix 30 - XXXII of CVM Instruction 480, of December 7, 2009.
Date of the shareholders meeting that approved the stock option plan:
The Stock Option Plan was approved at the Extraordinary Shareholders Meeting held on January 9, 2008, and amended on April 1, 2015, and August 4, 2017.
Amount of capital increase and new capital stock:
The capital will be increased by R$2,010,913.54. The new capital stock is R$1,873,906,337.66.
Number of shares issued by type and class:
352,174 common shares.
Issue price of new shares:
352,174 shares at the price of five reais and seventy-one centavos (R$5.71) related to the exercise of the 2018 Program.
