The integration ratio between Steel Processing and Nippon Steel Bar is 1:0.55. Steel Processing (Thailand) Co., Ltd. signed a merger agreement to acquire Nippon Steel Bar & CH Wire (Thailand) Co., Ltd. from Nippon Steel & Sumitomo Metal Corporation, Matsubishi Metal Industry Co.,Ltd., Miyazaki Seiko Co.,Ltd., Sanyu Co., Ltd., Toyota Tsusho Corp., Metal One Corporation, and Suzutoyo Seiko Co.,Ltd. in stock on October 1, 2012.

The name of the integrated company will be NIPPON STEEL & SUMIKIN Steel Processing (Thailand) Company Limited. Nippon Steel & Sumitomo Metal Corporation will hold 58.91%, Sumitomo Corporation will hold 10.76%, Matsubishi Metal Industry Co., Ltd. will hold 4.96%, Miyazaki Seiko Co., Ltd. will hold 4.96%, Sanyu Co., Ltd. will hold 4.96%, Nippon Steel & Sumikin Steel Processing Co., Ltd. will hold 2.65%, Toyota Tsusho Corporation will hold 4.26%, Metal One Corporation will hold 3.55%, Suzutoyo Seiko Co., Ltd. will hold 2.84% and Sumitomo Corporation Thailand Ltd. will hold 2.15% in NIPPON STEEL & SUMIKIN Steel Processing (Thailand) Company Limited. As of the end of 2011, Nippon Steel Bar & CH Wire had total assets of THB 1.24 billion. The transaction is subject to all necessary governmental approvals and licenses required to be obtained as well as all consents, approvals, waivers and other necessary protective procedures for all third parties, lenders and creditors. The transaction is expected to close in January 2013.
