NOTICE TO SHAREHOLDERSPayment of Dividends

São Carlos Empreendimentos e Participações S.A. (Bovespa: SCAR3) hereby informs to its shareholders that the payment of dividends in the amount of R$11,823,726.18 or R$
0.210346 per share was approved in the Annual Shareholders Meeting held in this date. The dividends are part of the compulsory dividends and refer to the 2014 fiscal year results, pursuant to the Company´s by-laws.
The proceeds will be available on May 29, 2015, based on shareholding position of April
30, 2015. Shareholders will be credited in accordance with the procedures of Itaú Unibanco S/A, the depository financial institution for the Company's shares, or the CBLC (Brazilian Clearing and Depository Corporation), in the case of shares in the custody of this institution.
The Company's shares will be traded ex-Dividends as of May 4, 2015.
