SD System Co., Ltd. (KOSDAQ:A121890) announced a private placement of 3,147,623 common shares at a price of KRW 3,177 per share for gross proceeds of KRW 9,999,998,271 on May 27, 2019. The transaction will include participation from new investor LDK Partners Co., Ltd for 3,147,623 shares. The shares will be issued at a premium. Post the closing of the transaction the shares will increase from 8,762,678 to 11,910,301 The shares will be issued through a third party allotment method. The payment and subscription date of the transaction is July 23, 2019. The securities being issued are subject to a lock up period of 1 year. The transaction has been approved by the board of directors of the company.
SD SYSTEM Co., Ltd is a Korea-based company mainly engaged in the provision of toll collection system (TCS) equipment and services. The Companyâs products portfolio consists of TCSs and electronic TCSs (ETCS) including highway ticket issuing machines, smartcard readers and writers, lane controllers, receipt printers and operating units and others; on board units (OBUs), which are used as wireless communication devices for vehicles, and others including intelligent transport systems (ITSs), intelligent building systems (IBSs), which automatically control air conditioning and heating systems of buildings, as well as integrated closed-circuit television (CCTV) surveillances and smart parking systems. The Company also involves in system installation and maintenance business.
