Servizi Italia : Acquisition of 30% of the share capital of Servizi Italia Medical S.p.A., whose 70% was already owned by Servizi Italia S.p.A.

PRESS RELEASE 14th April 2014 SERVIZI ITALIA owns 100% of Servizi Italia Medical S.p.A. following the acquisition of the remaining 30% of the Company from AEM Biotech S.r.l.

Servizi Italia S.p.A. - the Italian market leader in healthcare outsourcing of hospital services, listed on the STAR segment of the Italian Stock Exchange - announced that, as of today, has completed the acquisition of 30% of the share capital of Servizi Italia Medical S.p.A., whose
70% of share capital was already owned by Servizi Italia S.p.A. since 24th November 2010.
Servizi Italia Medical S.p.A., based in Spino d'Adda (CR, Italy), is a commercial company whose business is purchase, sale and development of Disposable Textile Devices, Medical Devices for surgical procedures and/or procedure kits/trays, as well as technical assistance/scientific support in the management of Medical Devices. The company, which is Servizi Italia's main referent at customers' (NHS and hospitals) for what concerns the supply of commercialized products, has closed its 2013 Financial Statement with a turnover equal to Euro 11,000 thousands, a net profit equal to Euro 391 thousands and a book-value net equity of Euro 1,274 thousands.
The operation is part of a business consolidation process of Servizi Italia S.p.A., related to the supply of Medical Devices for surgical procedures, which has met the growing demand coming from healthcare facilities and hospitals, which outsource these services through tenders and identify Servizi Italia Medical brand with a value-added product and service for the operating rooms. Servizi Italia S.p.A. will also be able to widen its cross-selling opportunities for long- term contracts that are already acquired; moreover, in prospect of a simplification and reorganizational process, it will be able to pursue the goal of a greater flexibility of internal processes, structure cost containment and improvement of the overall profitability of the Company.
The operation is part of a process of simplification and reorganization that Servizi Italia started with the aim of achieving more flexibility of internal processes and while holding down structure costs.

PRESS RELEASE 14th April 2014 Brief description of details, procedures, terms and conditions of the operation

The operation does not present specific risks of current or potential conflicts of interest of the parties involved in the transaction.
The current shareholding structure of SIMED, whose share capital is Euro 200,000.00 consisting of 200,000 ordinary shares with nominal value of Euro 1.00 (each), is held by:
• Servizi Italia S.p.A., with 140,000 (hundred and forty thousand) ordinary shares, equal to 70% of the share capital; and
• AEM Biotec S.r.l. with nr. 60,000 (sixty thousand) ordinary shares, equal to 30% of the share capital.
For this operation, parties agreed a total price of Euro 400 thousands, which was defined taking as reference Servizi Italia Medical S.p.A. book-value net equity as at 31st December
2013, and then comparing that value to the representative percentage of the share capital to be sold (i.e. 30%).
The price of Euro 400,000.00 will be entirely paid by Servizi Italia S.p.A. to AEM Biotech S.r.l., simultaneously with the transfer of the shares and it will be financed by medium-term debt.
The transaction has no significant effect on the protection of Company's equity or on the completeness and correctness of the information, including accounting, relevant to Servizi Italia.
It is also to underline that, pursuant to art. 71 of Issuers' Regulation, the operation results as "non significant", taking into account the parameters set by the applicable law. Value and other characteristics of the transaction did not require the assistance of one or more independent experts to express an opinion on economic and/or legal and/or technical aspects of the same. Therefore, there are no independent appraisals. The operation is not to be
considered as atypical, unusual or settled to conditions other than standard.
