(Stock Code: 00829) DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement of Shenguan Holdings (Group) Limited dated 9 November 2017 in relation to (1) Renewal of Supply Framework Agreement; (2) Renewal of Framework Agreements for the Purchase of Packaging Materials; and (3) Renewal of Framework Agreement for the Purchase of Cattle Inner Skin (the "Announcement"). Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, a circular (the "Circular") containing, among others, details of (i) the terms of the Zhiguan Framework Agreement, the Transactions contemplated thereunder and the corresponding Proposed Annual Caps; (ii) the respective letters of advice from the Independent Board Committee and the Independent Financial Adviser; and (iii) a notice convening the EGM was expected to be despatched to the Shareholders on or before 30 November 2017. As additional time is required to prepare and finalise the contents of the Circular, the Company expects that the date of despatch of the Circular will be postponed to a date on or before 8 December 2017.
