Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.



On February 23, 2022, Silgan Holdings Inc., or the Company, announced that
Anthony J. Allott has been appointed Non-Executive Chairman of the Board of
Directors of the Company, effective April 1, 2022, having served as Executive
Chairman until that time. Mr. Allott will also continue as an employee of the
Company providing certain advisory services for the Company. For his continued
services as an employee of the Company, Mr. Allott will receive an annual salary
of $110,000.

Allott as Non-Executive Chairman of the Board is attached hereto as Exhibit 99.1
and incorporated herein by reference.
