On May 3, 2021, Churchill Capital Corp II ("Churchill") received notice from the
Committee on Foreign Investment in the United States that it has concluded all
action under Section 721 of the Defense Production Act of 1950 (codified at 50
U.S.C. § 4565) and all rules and regulations promulgated thereunder, including
those codified at 31 C.F.R. Parts 800 and 801, and determined that there are no
unresolved national security concerns with respect to the previously disclosed
investment pursuant to the subscription agreement, dated as of October 12, 2020,
by and among Churchill, Churchill Sponsor II LLC and MIH Edtech Investments B.V.
(formerly known as MIH Ventures B.V.) and the previously disclosed acquisition
pursuant to the Agreement and Plan of Merger, dated as of October 12, 2020, by
and among Churchill, Magnet Merger Sub, Inc., and Albert DE Holdings Inc.
