Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 27, 2023, the board of directors of Smith & Wesson Brands, Inc., a Nevada corporation approved and adopted amended and restated bylaws of the Company (the "Amended and Restated Bylaws"), which are effective immediately. Among other things, the amendments effected by the Amended and Restated Bylaws remove references in the Amended and Restated Bylaws to the role of Vice Chairman.
